These Vendor Terms of Service ("Agreement") govern the relationship between EGO ERA LIMITED ("EGO ERA", "Platform", "we", "our", or "us") and any individual or business entity ("Vendor", "Seller", or "you") that registers to sell products on the EGO ERA marketplace.
By registering as a Vendor, accessing the Vendor dashboard, listing products, or clicking "I Agree" during the onboarding process, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement.
Agreement means these Vendor Terms of Service.
Platform means the EGO ERA e‑commerce marketplace, including its website, applications, vendor dashboards, and related digital interfaces.
Vendor means any individual or business entity that registers to sell products on the Platform.
Customer means any end user who purchases products listed by Vendors on the Platform.
Products means clothing, fashion apparel, and related accessories offered for sale by Vendors on the Platform.
Sale Price means the final price paid by a Customer for a Product excluding shipping fees, delivery fees, and applicable taxes.
Commission means fifteen percent (15%) of the Sale Price of each Product sold through the Platform unless otherwise agreed in writing.
This Agreement outlines the terms and conditions under which Vendors are permitted to list, promote, and sell Products through the EGO ERA marketplace.
To operate as a Vendor on the Platform, you must:
Provide accurate business and identification information
Operate a legitimate fashion‑related business
Comply with all applicable laws and regulations in Nigeria
EGO ERA reserves the right to approve, reject, or suspend vendor accounts at its sole discretion.
Vendors agree to:
Provide accurate business registration details and identification
Submit all product listings for approval prior to publication
Ensure all products meet EGO ERA quality standards
Maintain accurate stock availability
Fulfil orders promptly
Comply with all platform policies and operational guidelines
EGO ERA shall:
Provide vendors with a dashboard for managing listings and orders
Review product listings for quality and compliance
Facilitate customer payments through approved payment gateways
Promote marketplace products through marketing campaigns where applicable
All products must be reviewed and approved before appearing on the Platform.
EGO ERA reserves the right to:
Reject listings that do not meet platform standards
Remove listings that violate policies
Suspend vendors with repeated violations
Vendors determine the retail price of their products.
EGO ERA shall deduct the applicable commission from the Sale Price of each completed sale processed through the Platform.
Payments due to Vendors shall be remitted within 5–10 business days after confirmed delivery of the product to the Customer.
Vendors agree to:
Use approved logistics providers where applicable
Dispatch orders within 24–48 hours of confirmation
Package products professionally and securely
Provide shipment tracking information
Vendors must comply with the EGO ERA return policy and consumer protection regulations.
Where disputes arise between Vendors and Customers, EGO ERA may mediate and determine a resolution in good faith.
Repeated complaints or unresolved disputes may lead to account suspension or termination.
Vendors confirm that all products, trademarks, images, and descriptions used on the Platform are original or properly licensed.
EGO ERA may use vendor product images and descriptions for promotional purposes related to the Platform.
Both parties agree to maintain the confidentiality of non‑public information shared through the business relationship.
Customer data obtained through the Platform may only be used for order fulfillment and related service communication.
EGO ERA may suspend or terminate vendor accounts for:
Fraud or intellectual property violations
Repeated order fulfillment failures
Misrepresentation of products
Breach of platform policies
Vendors may discontinue use of the Platform at any time.
EGO ERA shall not be responsible for losses arising from vendor business operations, product defects, or logistics provider delays.
The Vendor agrees to indemnify and hold harmless EGO ERA, its officers, employees, and affiliates from any claims or liabilities arising from the Vendor's products, business conduct, or breach of this Agreement.
Neither party shall be liable for delays caused by events beyond reasonable control including natural disasters, government actions, strikes, or other unforeseen circumstances.
This Agreement shall be governed by the laws of the Federal Republic of Nigeria.
Any disputes shall first be resolved amicably. Where resolution fails, disputes may be referred to mediation under the Abuja Multi‑Door Courthouse framework.
EGO ERA may impose penalties including warnings, temporary suspensions, listing removals, or account termination for violations of platform policies.
EGO ERA may offer promotional benefits, featured placements, or temporary commission reductions to high‑performing Vendors based on sales performance and customer satisfaction.
EGO ERA reserves the right to update these Terms of Service from time to time.
Continued use of the Platform after such updates constitutes acceptance of the revised terms.
This Agreement is accepted electronically when a Vendor selects the "I Agree" checkbox during vendor registration or dashboard access.
Such electronic acceptance constitutes a legally binding agreement between the Vendor and EGO ERA.
